Who may use the Site

You may use the Site only if you can form a binding contract with us under applicable law and only in compliance with these Terms and applicable law. You must be at least the minimum age required in your jurisdiction to accept these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

Acceptable use

You agree not to:

• Attempt to gain unauthorised access to any portion of the Site or its underlying systems.
• Interfere with, disable or overload the Site (including via automated scraping outside the boundaries of our robots.txt).

• Use the Site to distribute malware, phishing pages or unauthorised commercial communications.

All content on the Site, including text, graphics, logos and code, is owned by MODENU or its licensors and is protected by copyright and other intellectual-property laws. Except as expressly allowed here, you may not copy, distribute, modify or create derivative works from our content without prior written permission.

User-generated content

If you submit content to the Site (for example a comment, review, guest article or contact message), you grant us a worldwide, non-exclusive, royalty-free licence to use, copy, publish and modify that content for the purposes of operating and promoting the Site. You represent that you own or have the necessary rights to grant this licence and that your content does not infringe any third party’s rights.

We may remove any user content at any time, with or without notice, at our discretion.

Third-party links & downloads

The Site contains links to and embeds files from third parties. We do not control those third parties and are not responsible for their content, safety or availability. Use them at your own risk and subject to their own terms. Details are in our Disclaimer.

No warranty & limitation of liability

The Site is provided “as is” and without warranty of any kind. To the maximum extent permitted by law, MODENU, its owners, employees and contributors shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Site or the content within it.

Where mandatory local law provides you with additional rights, nothing in these Terms limits those rights.

Indemnity

You agree to indemnify and hold harmless MODENU and its affiliates from any claim, cost or damage (including reasonable attorneys’ fees) arising out of your breach of these Terms or your violation of any law or third-party right.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason — including breach of these Terms. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which MODENU’s lead entity is registered, without regard to conflict-of-law rules. Any dispute shall first be attempted to be resolved informally by contacting [email protected]. If it cannot be resolved, the exclusive jurisdiction shall be the competent courts of that jurisdiction, unless mandatory local law provides otherwise.

Changes to these Terms

We may amend these Terms from time to time. The current version, with its Last updated date, always lives at https://modenu.com/terms-of-service/. Material changes will be highlighted at the top of the page for at least 30 days.

Community & comments

Where comments or discussions are enabled, additional community rules apply on top of these Terms. Personal attacks, targeted harassment, hate speech, doxxing, spam, off-topic self-promotion and posting of malware links or account credentials are prohibited and will be removed. Repeat offenders may be permanently banned from posting. Moderation decisions are made by the editorial team and are final.

Assignment & severability

We may assign these Terms and our rights and obligations under them, in whole or in part, to any affiliate or in connection with a merger, acquisition or sale of assets. You may not assign these Terms without our prior written consent. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
